Acceptance of Terms and Conditions

  1. These Terms of Use (hereinafter the “Terms”) constitute a legally binding agreement between you and PRO360 Tech Inc. and its subsidiaries (collectively or individually, “PRO360”) concerning the rights and obligations arising from your use of the PRO360 Platform.

Please read these Terms carefully. By accessing or using the PRO360 Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not access or use the PRO360 Platform.

  1. Any reference to “you” or “User” refers to anyone who accesses and/or uses the PRO360 Platform in any manner. If you are using the Platform on behalf of a legal entity, organisation, or group, you represent and warrant that you have the proper authorisation to do so. In that case, such entity will also be bound by these Terms, and all actions by its representatives, employees, or agents on the Platform will be deemed to be on behalf of that entity.
  2. PRO360 reserves the right to refuse service or access to the Platform to any User, client, or service provider.
  3. When you use certain features or services on the Platform, you may also be subject to additional terms and conditions applicable to those specific services or areas. Those additional terms form part of these Terms. In the event of a conflict, the specific service terms will take precedence.
  4. PRO360 may revise these Terms at any time. Updates will be notified via email, telephone, website announcements, or other appropriate means. Continued use of the Platform after the Terms are updated constitutes acceptance of the revised Terms. If you do not agree with the revisions, please stop using the Platform.
  5. PRO360 may send notifications to your contact details on file. It is your responsibility to keep your information accurate and up to date. If you do not receive notifications due to outdated or incorrect information, the notification is still deemed delivered.

1. Definitions

Unless otherwise defined in other clauses of these Terms of Use, the terms used herein are defined as follows:

1.1 “PRO360 Platform”: Refers to the PRO360 website, mobile software, applications, or other software used to provide or access services.

1.2 “User”: Any person who accesses or uses the PRO360 Platform, including unregistered visitors, registered account holders, clients, and service providers.

1.3 “Client”: A registered User who requests quotations, purchases fixed-price service packages, or otherwise engages services through the Platform.

1.4 “Service Provider”: A registered User who offers quotations, provides services through the Platform, sells fixed-price service packages, or receives payment via the Platform.

1.5 “Partner”: An entity or individual cooperating with PRO360 to support services such as billing, payments, marketing, research, data processing, legal consultancy, identity verification, or insurance.

1.6 “Person”: Includes individuals, corporations, institutions, and organisations.

1.7 “Service Item”: Services or fixed-price packages listed or provided by Service Providers or requested by Clients through the Platform.

1.8 “Fixed-Price Service Package”: Predefined service offerings sold via the Platform by Service Providers, including those listed on the PRO360 Special Services page.

1.9 “Content”: Text, graphics, images, videos, audio, documents, and other materials, including service details, quotations, messages, feedback, calendars, and other data on the Platform.

1.10 “Platform Content”: All content displayed on the PRO360 Platform, including User Content and PRO360-generated content.

1.11 “PRO360 Content”: Content created and owned by PRO360, excluding User Content.

1.12 “User Content”: Any content submitted, uploaded, posted, or transmitted by Users via the Platform, such as profiles, service details, feedback, reviews, images, files, and payment-related data.

1.13 “Additional PRO360 Terms”: Other service-specific terms, policies, or notices published by PRO360, including but not limited to Privacy Policy, Points Terms, Pricing Rules, SMS Terms, Call Connection Terms, Auto-Debit Terms, and Special Services Terms.

2. Account Registration

2.1 Users may browse the Platform without registering. However, to access certain features, registration is required.

2.2 To use PRO360 matching services, Users must register, accept the Terms and rules, and provide necessary information for database setup.

2.3 Users must ensure the information provided is accurate, up to date, and complete, and must update it promptly.

2.4 Users are responsible for safeguarding their account credentials. All actions taken using the User’s account are deemed the User’s actions. If unauthorised access occurs, the User must notify PRO360 immediately. Until such notice is received and processed, the User remains responsible for all activity.

3. Eligibility

Only individuals aged 18 or older may use the PRO360 Platform. By registering or using the Platform, you confirm that you are at least 18 years of age. PRO360 is not obligated to verify your age.

4. Provision of Services

4.1 When a Service Provider registers or lists services on the Platform, they warrant that they possess the necessary qualifications, licenses, and certifications. They confirm that their advertising is truthful and that legally required licenses or insurance are in place.

4.2 PRO360 serves as an information and communication platform only. Clients and Service Providers independently establish service agreements. PRO360 does not enter into contractual relationships regarding service provision.

4.3 The User acknowledges and agrees:

(a) PRO360 is not a service provider. All disputes are between Users and are not PRO360’s responsibility.
(b) Listing services or receiving requests does not guarantee successful transactions.
(c) Service Providers are independent. They determine pricing, use their own tools, and are not employees or agents of PRO360.

4.4 If PRO360 becomes aware that a Service Provider is involved in criminal activity, it may suspend or terminate the account and conduct necessary inquiries using provided information.

5. Permissions and Use of the Platform

Subject to these Terms, PRO360 grants Users a limited, non-exclusive, revocable, non-transferable licence to use the Platform strictly in accordance with its intended use. Unless explicitly authorised by PRO360, Users may not reproduce, adapt, distribute, sell, broadcast, or create derivative works from the Platform or its content.

6. User Content

6.1 PRO360 may, at its discretion, allow Users to post, upload, publish, or transmit content on the Platform. By doing so, Users grant PRO360 a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free licence to use, reproduce, modify, distribute, display, and market such content.

6.2 This licence remains valid regardless of whether the User account is terminated.

6.3 PRO360 reserves the right to remove or restrict access to any User Content without prior notice for any reason, including violations of law or these Terms.

7. Fees and Invoicing

7.1 For quote-based services: a. Clients are not charged when submitting service requests. b. Payment to Service Providers may be processed through supported payment methods.

7.2 For fixed-price service packages: a. Clients must use the specified payment method for each package.

7.3 Invoices: Since services are provided by Service Providers, PRO360 does not issue invoices to Clients. Service Providers must issue receipts or tax invoices as required by law.

7.4 Secure Payment Option: a. Where available, Clients may choose to use the “Secure Payment” feature that offers limited payment protection.

8. Service Provider Fees and PRO360 Credits

8.1 To access certain paid features such as submitting quotations, Service Providers must either: a. Purchase PRO360 Credits; or b. Link a valid credit card for direct debit.

8.2 PRO360 Credits System: a. “PRO360 Credits” are purchased by Users. b. “Free Credits” may be issued during promotional campaigns. Both can be used to pay for services at a 1:1 value ratio. c. Credits cannot be redeemed for cash and are subject to the Credits Terms.

8.3 Payments are deducted from the Credits balance first. If insufficient, the linked credit card will be charged.

8.4 Payment method accepted: Stripe (credit cards).

8.5 When users utilize the aforementioned payment methods, they must comply with the relevant terms stipulated by those payment methods. Users are required to provide PRO360 with accurate and complete information and authorize PRO360 to use such information, including payment and transaction records.

8.6 Service Providers selling fixed-price packages will be subject to separately agreed fees.

9. Overseas Transaction Fees

When payments are made from outside Singapore or through foreign-issued credit cards or payment networks, additional foreign transaction fees may apply. Users are responsible for checking such charges with their payment provider.

10. Warranties and Declarations

10.1 Users declare and agree to:

(a) Use the Platform legally and in compliance with all applicable laws and these Terms;

(b) Provide accurate and current personal and business information;

(c) Own or hold rights to the content they upload, and that it does not infringe on third-party rights;

(d) Avoid submitting any content that is unlawful, offensive, defamatory, misleading, or breaches public decency;

(e) Ensure all required licences and certifications are valid if they offer services;

(f) Bear liability for any damages caused to PRO360 or other Users due to false statements or unlawful content.

10.2 PRO360 reserves the right to remove infringing content and take necessary action without prior notice.

10.3 PRO360 makes no warranties on the truthfulness or legality of User Content or service provider credentials. Clients must verify these independently.

10.4 Users agree to indemnify and hold harmless PRO360 and its affiliates, staff, and partners from any liabilities arising from breach of these declarations.

11. Data Protection

11.1 Users agree to the use of their personal data in accordance with PRO360’s Privacy Policy.

11.2 Service Providers must only use Client data for service provision purposes.

11.3 Users must comply with all data protection laws and safeguard any personal information accessed through the Platform.

11.4 Any breach resulting in data misuse must be reported to PRO360 immediately. The violating party is fully liable for resulting damages.

    12. Confidentiality Obligations

    12.1 Service providers who possess confidential information provided by PRO360 as a result of using the PRO360 platform must exercise the duty of care of a prudent manager to maintain confidentiality. Except as permitted by these Terms of Use and related agreements, they shall not use or disclose such confidential information to any third party without prior written consent from PRO360. If disclosure to employees, consultants, or other necessary third parties is required for the performance of contractual obligations, the service provider must ensure that these parties are bound by confidentiality obligations equivalent to those in these Terms of Use and related agreements.

    12.2 This provision shall remain in effect notwithstanding the termination, deletion, or closure of the service provider’s account, or the termination, cancellation, or expiration of the related contract, until the confidential information loses its confidentiality for reasons not attributable to the service provider. PRO360 may, at any time, request in writing that the service provider delete or return such confidential information.

      13. Prohibited Activities

      Users shall not engage in the following actions:

      13.1 Use another person’s account, impersonate any individual or entity, provide incorrect descriptions, content, or other information regarding service items, or categorize service items under inappropriate classifications.

      13.2 Without prior written consent from PRO360, the use of any automated systems (including but not limited to robots, offline readers, etc.) on the PRO360 platform is prohibited. However, PRO360 consents to the use of robots by search engine enterprises for the purpose of creating publicly searchable data indexes, provided that such data is not archived. PRO360 reserves the right to withdraw this consent at any time.

      13.3 Collect, copy, or reproduce content protected by intellectual property rights in any manual or automated manner, or use PRO360 platform content or user content in any form without lawful authorization.

      13.4 Making an excessive number of unreasonable requests on the PRO360 platform within a short period, or if such requests are evidently not made by a typical browser or human user.

      13.5 Any actions that may damage or interfere with the operation of the PRO360 platform’s infrastructure, including but not limited to: (1) disrupting or intending to disrupt the normal operations of the PRO360 platform or its partners; (2) attempting to circumvent measures designed to prevent or restrict access to the PRO360 platform; (3) bypassing, disabling, or otherwise interfering with the security features of the PRO360 platform; (4) distributing viruses, software, or other technologies that may harm the PRO360 platform or its users; or (5) using or accessing the PRO360 platform to infringe upon the intellectual property rights, trade secrets, or other rights of partners or third parties.

      13.6 Service providers shall not, in any manner, circumvent their obligation to pay fees or points to PRO360.

      13.7 The quotations or prices provided by service providers are fictitious, and they arbitrarily increase prices after accepting orders or create additional charges under false pretenses.

      13.8 Collecting personal data from the PRO360 platform, including but not limited to names, surnames, or other account information, or using the communication systems provided by the PRO360 platform for purposes such as commercial recruitment, hiring, surveys, advertising, or any other use that does not align with the purposes of these Terms of Use.

      13.9 Use of the service for recruitment or hiring activities aimed at employment or talent acquisition, whether directed at service providers or clients.

      13.10 Engage in any inappropriate or illegal conduct, including submitting inappropriate or illegal content on the PRO360 platform, such as content that is harassing, hateful, unlawful, profane, obscene, defamatory, threatening, or discriminatory, or that advocates, promotes, or encourages inappropriate or illegal activities.

      13.11 Acts that violate these Terms of Use or other terms of PRO360.

      13.12 Advertising or soliciting services on the PRO360 platform that are prohibited or not established, or services that do not align with the stated purpose of the user, including but not limited to: (1) services that do not belong to the category of services or involve only the sale of goods; (2) offering loans; (3) conducting fundraising; (4) recruitment or hiring activities; (5) renting out venues or providing rental spaces; (6) engaging in businesses that compete with the PRO360 platform; (7) providing fraudulent emails, spam, or unsolicited marketing content; (8) offering illegal services.

      13.13 Engage in any conduct that may impair the validity or accuracy of reviews, ratings, evaluations, or assessments.

      13.14 Except in cases where the customer has breached their contract with the service provider, refused payment, exhibited gross negligence, or where the service provider is unable to verify the customer’s identity, the service provider has not provided the services as stipulated in the contract with the customer.

      13.15 Engaging in fraudulent activities.

      13.16 The customer purchases a service item but does not meet the eligibility criteria.

      13.17 Engaging in activities that are inconsistent with the business or purpose of the PRO360 platform.

      13.18 The customer makes requests, pre-orders, negotiations, or service item requests without actual need or intention to pay.

        14. Prohibited Conduct on the Platform

        If PRO360 discovers that a registered account on the PRO360 platform is registered by a competitor, or if the user engages in any conduct while using the PRO360 platform that may adversely affect PRO360, PRO360 reserves the right to suspend and terminate the user’s account without obtaining the user’s consent. If there are any unused PRO360 points in the account, PRO360 will refund the fees in accordance with the terms of point usage.

        15. Intellectual Property Rights

        15.1 All text, graphics, editorial content, charts, designs, photographs, images, fonts, and other content available for viewing and use on the PRO360 platform are the property of PRO360. Users may not reproduce or engage in any activities that violate copyright or trademark laws without prior written consent from PRO360.

        15.2 Users must comply with relevant intellectual property laws and must not infringe upon the intellectual property rights of others. If a user violates any intellectual property laws, infringes upon the intellectual property rights or other rights of others, or if a third party claims that the user has infringed upon their intellectual property rights, regardless of whether the dispute has been clarified or resolved, or whether a final judgment has been made, PRO360 reserves the right to immediately restrict, suspend, or terminate the user’s access to the PRO360 platform and their account.

        16. Disclaimer of Liability

        16.1 To the fullest extent permitted by law, users shall assume all risks associated with the use of the PRO360 platform services. PRO360 makes no express, implied, or statutory representations, warranties, or guarantees regarding the services provided on the PRO360 platform, including but not limited to warranties of quality, performance, truthfulness, accuracy, completeness, non-infringement, or suitability for a particular purpose, or any warranties that may arise from trade practices. Without limiting the foregoing and to the fullest extent permitted by law, PRO360 does not provide any guarantees regarding the PRO360 platform website, the services offered, or the functionalities contained therein. PRO360 does not warrant that the services, website, platform, or functionalities provided will be uninterrupted, error-free, timely, secure, reliable, accurate, complete, or free from errors. PRO360 shall not be liable for any defamatory or unlawful acts by any user or third party, or for any damages incurred through the use of any data, information, or materials accessed via the PRO360 platform. Furthermore, PRO360 does not guarantee the accuracy of any advice or information provided on the platform, whether oral or written.

        16.2 Users, customers, and service providers acknowledge and agree that the PRO360 platform has the right, but not the obligation, to the extent permitted by law, to (1) review or examine user content, and (2) verify, audit, inspect, or inquire into the verification of users’ identities, certifications, licenses, and conduct civil or criminal case and background checks.

        16.3 Users shall fully assume all risks and responsibilities associated with communications, interactions, and dealings with other users of the PRO360 platform, including but not limited to any users, service providers, clients, and their related parties. Users understand that the PRO360 platform does not guarantee to verify, review, or inspect user information, any statements, or content. The PRO360 platform makes no representations, warranties, or guarantees regarding the actions or omissions of any user.

        16.4 Users shall independently prepare, maintain, and ensure that all hardware equipment, operating systems, and related software used to access the PRO360 platform meet security standards. Users must continuously update antivirus software and other necessary security measures and ensure the security of their network environment and connections. When connecting to the PRO360 platform or communicating, contacting, or exchanging data with other users, users must take all reasonable precautions to prevent viruses, malicious programs, or other cyber attacks. In the event of service interruptions, functional anomalies, or other damages caused by abnormalities or failures in the user’s network environment, hardware equipment, or software systems, the user shall bear full responsibility. PRO360 shall not be liable for any damages or compensation.

        16.5 Users who decide to go offline or meet, contact, provide, or receive services from other users in person should take reasonable protective and precautionary measures on their own. PRO360 shall not be liable for any acts, omissions, or intentional misconduct of any user or service provider.

        16.6 PRO360 shall not be liable for any and all risks or any direct, indirect, incidental, special, or consequential damages arising from the following matters (whether based on contractual liability, tort liability, product liability, or any other legal liability), regardless of whether PRO360 has been advised of the possibility of such damages: (1) the use or inability to use the PRO360 platform, services, or platform content by the user or any other person; (2) interactions, contacts, or communications between users or with other individuals as a result of using the PRO360 platform; (3) service interruptions, system failures, virus intrusions, or computer damage related to the PRO360 platform; (4) any damages resulting from personal or bodily injury or emotional distress related to PRO360 or the PRO360 platform; and (5) damages, loss of profits, data loss, or loss of goodwill arising from the aforementioned matters. However, if PRO360 is legally required to bear liability for damages, or if damages are caused to the user due to PRO360’s intentional or gross negligence, the user acknowledges and agrees that PRO360’s liability shall not exceed the fees (credits) paid by the user to PRO360 for the use of PRO360 services on that particular occasion.

        17. Non-Commitment of the PRO360 Platform

        PRO360 is not a user, client, or service provider. These Terms of Use, the terms and conditions set by PRO360, or any part of the PRO360 platform content, including but not limited to any plans or other services, do not establish any agency, partnership, joint venture, employment, or labor relationship between users, clients, and service providers. Neither the PRO360 platform nor the users have the authority to direct or control the actions of the other party, nor will they assume any responsibility or obligation on behalf of the other party. Although these Terms of Use require users to provide accurate information, and despite the PRO360 platform’s ability to conduct additional checks and tests to verify or examine the identity or background of users, PRO360 does not confirm any user’s claimed identity or background, regardless of whether the user utilizes any service items.

        Any reference to a user being licensed, trusted, or rated in any manner on the PRO360 platform merely indicates that the user has completed the relevant account registration, provided specific information, or declared compliance with certain evaluation criteria. It does not represent the accuracy or truthfulness of the content, and PRO360 assumes no liability or obligation in this regard. Such descriptions do not constitute certification, verification, or warranty by PRO360, nor do they imply that PRO360 has verified the user’s identity. They do not confirm or verify whether the service provider’s services are licensed, insured, trustworthy, safe, or suitable. Such information is solely intended to assist users in conducting a preliminary screening and assessment of the identity and suitability of service providers when seeking services through the PRO360 platform.

        18. User Feedback and Suggestions

        Regarding any feedback, comments, questions, or suggestions (collectively referred to as “Feedback”) provided by the user to PRO360, the PRO360 platform, service providers, and their services, the user represents and warrants that: (1) they have the right to disclose the relevant Feedback; (2) the Feedback does not infringe upon the rights of any person; (3) the Feedback does not contain any confidential information.

        Upon submitting any feedback, (1) the user agrees that PRO360 is under no obligation of confidentiality with respect to the feedback; (2) grants PRO360 a worldwide, irrevocable, perpetual, non-exclusive, transferable license and right, free of any royalties or fees, to use, exploit, reproduce, create, distribute, sell, publicly broadcast, publicly transmit, digitize, post-produce, edit, modify, distribute, broadcast, access, view, and market the feedback in any manner necessary.

        19. Handling of Breach of Terms

        If the user violates these Terms of Use or any other terms of PRO360, PRO360 may, at its sole discretion, delete posted user content, restrict the user’s access to their registered account on the PRO360 platform, terminate the user’s account, limit the user’s rights, initiate legal proceedings, cooperate with judicial authorities in investigations, and undertake any other actions permitted by law.

        20. Termination of Account

        20.1 PRO360 reserves the right to suspend or terminate a User’s account under any of the following conditions: a. Violation of these Terms or other PRO360 policies; b. Legal infringement or third-party complaints; c. Bankruptcy, poor credit rating, or reputational issues.

        20.2 Upon termination, PRO360 may: a. Lock account access and remove related content; b. Notify other Users of the termination; c. Retain fees for ongoing service transactions; d. Not compensate for any resulting damages.

        20.4 Remaining PRO360 Credits will be refunded in accordance with the Credits Terms.

        21. Dispute Resolution

        PRO360 is not a party to service agreements between Clients and Service Providers. Any disputes must be resolved independently by the involved parties. Users acknowledge that PRO360 bears no responsibility for disputes or claims arising from services rendered or received.

        22. Miscellaneous Provisions

        22.1 PRO360 and the user shall not be liable for damages arising from breach or delay due to force majeure. The aforementioned force majeure events include, but are not limited to, fire, flood, typhoon, earthquake, strike, war, national disasters, or other events beyond human control.

        22.2 The other provisions of PRO360 constitute a part of these Terms of Use and have the same legal effect. If any provision of these Terms of Use or any other provisions of PRO360 is deemed invalid, the validity of the remaining provisions shall not be affected.

        22.3 If PRO360 waives any part of its rights under the law or these Terms of Use, it shall not be deemed as a waiver of any other rights under the law or these Terms of Use. If PRO360 temporarily refrains from exercising or delays the exercise of its rights, it shall not be considered a waiver of those rights.

        22.4 These Terms of Use shall be governed by the laws of the Republic of Singapore. Any disputes arising from these Terms of Use shall be subject to the exclusive jurisdiction of the Singapore courts, unless otherwise mandated by applicable law.
